These are the Terms and Conditions of The New Fat Ltd (specifically trading as TNF Digital Signage/TNF Digital). In this document, “we”, “our”, or “us” refer to The New Fat Ltd.
The following Terms and Conditions of Service apply to all products and services provided by The New Fat Ltd. All work is carried out by The New Fat Ltd on the understanding that the client has agreed to The New Fat Ltd’s terms and conditions.
Jurisdiction
These Terms and Conditions shall be governed by, construed by and shall take effect entirely in accordance with the laws of England subject to the exclusive jurisdiction of the English courts.
Prices displayed on this website
All prices shown on the website are subject to change without notice. If an enquiry is made, we will determine the full project requirements and issue a formal emailed quotation for the work required, which may differ from the prices shown on this website. All prices are subject to VAT and exclude site surveys and installations.
Project acceptance
At the time of proposal, The New Fat Ltd will provide the customer with a digital estimate or quotation. The Terms and Conditions can be read on The New Fat Ltd’s website. The estimate or quotation is to be confirmed and approved by return over email. This confirmation email indicates acceptance of the quote and should be returned to sales@tnfdigital.co.uk. Alternatively, the client may send an official order in reply to the estimate or quotation which binds the client to accept The New Fat Ltd’ terms and conditions. No work on a project will commence until either document has been received by The New Fat Ltd. The New Fat will use reasonable endeavours to adhere to any dates proposed by either the Company or the User for the provision of Services, however any such date is to be treated as an estimate only and the Company accepts no liability for failure to meet such dates. Where The New Fat uses any third-party services - such as; printers, digital technology providers, web plug ins, email providers, web hosting/developers or search engines submission services, the Company cannot be held responsible for those third-party service commitments, quality or availability.
Warranty (We sell to UK Mainland only)
Covers hardware failure but excludes accidental damage or user error.
Free lifetime telephone and email technical support via The New Fat Ltd or Alsee Technologies.
14 day returns policy.
All standard product ranges come with a 3 year warranty starting from date of invoice. This excludes Electronic Shelf Label (ESL) products which come with a 2 year warranty. This also excludes all bespoke hardware which is manufactured under OEM. All bespoke products come with a strict 1 year warranty, unless extended at point of order.
Any warranty extension needs to be completed at point of order and should be clearly noted on the sales invoice.
Any suspected hardware failure should be reported to The New Fat Ltd first. The New Fat Ltd will then provide telephone and/or email technical support to determine hardware failure; hardware failure must be confirmed by The New Fat Ltd.
All screen sizes upto and including 55”, as well as media players, are covered by a swap-out warranty. There may be some situations (such as not having a particular model in stock) where an advanced replacement product cannot be supplied, in these cases a collection, repair and return service will be implemented. Screens larger than 55” and freestanding models (“L” and “OT” ranges only, excluding “LUHB”, “LHDS”,“TAO”,“AB” and “OAB” ranges) are covered by an on-site service.
Once hardware failure has been determined by The New Fat Ltd over the phone or on email the screen should be repackaged using the original packaging material and method (including bespoke pallet where necessary). At this point The New Fat Ltd, at their discretion, will take one of the following actions:
An advanced replacement product will be sent out by courier service. The product should be swapped-out by the customer and the faulty unit repackaged using the packaging from the replacement unit. Once confirmation has been received from the customer courier collection will be arranged by The New Fat Ltd, or
The faulty screen should be repackaged using the original packaging. The New Fat Ltd will then arrange for collection of the faulty product by a courier service. Once the product is back with The New Fat Ltd it will either be repaired or replaced with a comparable unit and sent back to the customer by courier.
All deliveries and collections will be at the cost of The New Fat Ltd.
If the product is not packaged correctly no liability will be taken by The New Fat Ltd if the product is damaged during transit.
If the product is returned in full working order no liability will be taken by The New Fat Ltd and any costs incurred will be passed on to the customer.
For on-site service the product must be in a location accessible to our technician(s) and in no circumstances would The New Fat staff be expected to remove screens or disassemble non-standard installations or constructions or be expected to work above ground level.
Where no genuine hardware failure has occurred a call out charge of at least £250 (+VAT) is payable for each visit.
For customised, bespoke or out of stock items the turnaround period is dependent upon factors such as, but not limited to, availability, production and shipping.
If a CMS licence is purchased with a product this is not transferable to any other products. If a product with a valid CMS licence suffers a hardware failure during its warranty period and a replacement product is required then The New Fat Ltd will transfer the CMS licence in this case.
For displays intended to be installed in windows, it is advised that the panel surface should be positioned no less than 100mm away from the inner side of the window, and at least 50mm away from the wall behind the unit. However, it is highly recommended by The New Fat Ltd to maintain a larger gap of 200mm between the front of the display and the window, along with a distance of 70mm between the rear of the screen and the wall. This specific spacing ensures proper air circulation around the display. Failing to adhere to these guidelines may lead to issues that are considered to be caused by user damage.
This warranty covers hardware failure and shall not apply to the following, including, but not limited to: damage which occurs in shipment; delivery or installation; integration into an enclosure or kiosk with insufficient air flow or ventilation; applications and uses for which this product was not intended; altered product or serial numbers; cosmetic damage or exterior finish; accidents, abuse, neglect, fire, water, lightning or other aspects of nature; use of products, equipment, systems, utilities, services, parts, supplies, accessories, applications, installations, repairs, external wiring or connectors not supplied or authorised by The New Fat Ltd, or which damage this product or result in service problems; incorrect electrical voltage, fluctuations and surges; customer adjustments and failure to follow operating instructions, cleaning, maintenance and environmental instructions; product removal or reinstallation; reception or display problems and distortion related to noise, echo, interference or other signal transmission and delivery problems; reduced screen brightness related to normal aging, burned-in images, mura (including backlight bleed), blackening and defective pixels within the panel manufacturers accepted tolerance.
Payment Terms
When ordering direct from the website you can either pay by credit or debit card via Stripe. Alternatively a Proforma can be supplied and paid in full via BACS Transfer before goods are released. Our Terms for special or customised order: 50% deposit to be paid when order placed and full payment upon before delivery.
An optional leasing agreement may be available depending upon the quantity and value of the order. We will not provide the leasing facilities in-house but will contact a leasing company if this is necessary.
All goods remain the property of The New Fat Ltd until paid for in full. Monies that remain outstanding by the due date will incur late payment interest at the rate of 2% above the prevailing Bank of England's base rate on the outstanding balance until such time as the balance is paid in full and final settlement. We reserve the right to seek recovery of any monies remaining unpaid sixty days from the date of invoice via collection agencies and/or through the Small Claims Court in the event that the outstanding balance does not exceed £3000. In such circumstances, you shall be liable for any and all additional administrative and/or court costs.
Design charges
Charges for design services to be provided by The New Fat Ltd, will be set out in the written estimate or quotation that is provided to the customer. At the time of the customer’s signed acceptance of this estimate/quotation or email confirmation, indicating acceptance of the Terms & Conditions, a non-refundable deposit of 50% of the quoted fee will become immediately due. Preliminary work: All work carried out, whether experimentally or otherwise, at the customers request shall be charged. Job Inactivity: We reserve the right to invoice design time spent to date on any job following a period of inactivity of more than 4 weeks.
Charges for other services
Charges for any additional services over and above the estimated design, will become fully payable before any final artwork is produced. The customer will be provided with a proof to approve via email and the client is responsible for proofing all the content - the client will need to approve proofs by replying via email. Invoices will be produced when the project commences or before the creation of final artwork depending on credit terms. Accounts which remain outstanding for 30 days (or the term specified on the invoice) after the date of invoice, will incur an extra charge of 2% above the prevailing Bank of England's base rate of the outstanding amount. Payments for design work need to be made by bacs only, or (for overseas customers), Pound Sterling International Money Order or previously agreed electronic funds transfer. Publication and/or release of work done by The New Fat Ltd on behalf of a new client or a client who has no credit agreement, may not take place before cleared funds have been received. All prices quoted are valid for 7 days from the time of the quotation after which time the Company may alter them without giving notice to the User. There is a minimum invoice value of £75 + VAT that will be invoiced for any transaction to cover administration and handling charges.
Credit Account Default
If a credit account has been approved, the account shall be considered default if it remains unpaid for 30 days from the date of invoice. The New Fat Ltd shall be considered entitled to remove The New Fat Ltd’ and/or the customer’s material from any and all computer systems including hosting services, CMS licenses and the removal of any printed or digital screen items which the client has in their possession, corporate identities are not allowed to be used in any way, until the amount due has been fully paid. This includes any and all unpaid monies due for all goods, design and production related services, including, but not limited to, printing of goods, digital technology purchases, web hosting, domain registration, maintenance services, sub-contractors, printers, photographers and libraries. Removal of such materials does not relieve the customer of it’s obligation to pay the due amount. Customers whose accounts become default agree to pay The New Fat Ltd reasonable legal expenses and third party collection agency fees in the enforcement of these Terms and Conditions.
Printed results
The New Fat Ltd have no control over the production of artwork supplied by customer and or their agents, the guide produced by The New Fat Ltd is a basic guide only and in no way provides an exhaustive or guaranteed result, where customers or their agents supply artwork for print on disk or via any other means this is done entirely at the customers own risk The New Fat Ltd can accept no responsibility for the quality of the printed product. Full colour printing: Every effort will be made to obtain the best possible colour reproduction on customers work but due to the nature of the process involved The New Fat Ltd shall not be required to guarantee an exact match in colour or texture between the printed results and any proof or existing copy so supplied. Pantone ink matches cannot be produced using the full colour process. Any proof copies issued are NOT colour accurate and are issued for content checking only.
Copyrights & trademarks of supplied content
By supplying text, images and other data to The New Fat Ltd for inclusion in the customer’s website, printed promotional material or other medium, the customer declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner. Any original artwork, images, or text supplied and/or designed by The New Fat Ltd on behalf of the customer, will remain the property of The New Fat Ltd and/or it’s suppliers.For logo design projects which are quoted for at full market price The New Fat Ltd will give copyright ownership in writing for just one final chosen logo from the design choices presented to the client. The customer may request in writing from The New Fat Ltd, the necessary permission to use materials (for which The New Fat Ltd holds the copyright) in forms other than for which it was originally supplied, and The New Fat Ltd may, at it’s discretion, grant this. Such permission must be obtained in writing before it will allow any of the aforesaid artwork, images, text, or other data to be used. By supplying images, text, or any other data to The New Fat Ltd, the customer grants The New Fat Ltd permission to use this material freely in the pursuit of the design. Should The New Fat Ltd, or the customer supply an image, text, audio clip or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the customer will agree to allow The New Fat Ltd to remove and/or replace the file on the site or document. The customer agrees to fully indemnify and hold The New Fat Ltd free from harm in any and all claims resulting from the customer in not having obtained all the required copyright, and/or any other necessary permissions.
Copyright of design work created by The New Fat Ltd
Copyright is retained by The New Fat Ltd on all design work including words, pictures, ideas, visuals and illustrations including all original artwork files unless specifically costed and released in writing and after all costs have been settled. If a choice of design is presented, only one solution is deemed to be given by The New Fat Ltd as fulfilling the contract. All other designs remain the property of The New Fat Ltd, unless agreed in writing that this arrangement has been changed.
Alterations
The customer agrees that changes required over and above the estimated work or required to be carried out after acceptance will be liable to a separate charge. The customer also agrees that The New Fat Ltd holds no responsibility for any amendments made by any third party, before or after a design is published.
Force majeure
The Company shall not be liable to the User or deemed to be in breach of the Agreement by reason of any delay in performing or any failure to perform any of the Company’s obligations in relation to the Services or which causes the termination of an agreement or contract entered into, nor which could have been reasonably foreseen, if the delay or failure was due to any cause beyond the Company’ reasonable control. Without prejudice to the generality of the foregoing the following, shall be regarded as causes beyond the Company’s reasonable control: Act of God, explosion, flood, tempest, fire or accident, War or threat of war, sabotage, insurrection, civil disturbance or acquisition, Acts, restrictions, regulations, by-laws, prohibitions or measures of any kind on the part of any government parliamentary or local authority, strikes, lockouts or other industrial action or trade disputes (whether involving employees of the Company or any third party), difficulties in obtaining raw materials, labour, fuel, parts or machinery, power failure or breakdown in machinery. Any Party affected by such event shall forthwith inform the other Party of the same and shall use all reasonable endeavours to comply with the terms and conditions of any Agreement contained herein.
Waiver
Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.
Licensing
Any design, copywriting, drawing, idea or code created for the customer by The New Fat Ltd, or any of it’s contractors, is licensed for use by the client on a one-time only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of The New Fat Ltd and any of it’s relevant sub-contractors. All design work- where there is a risk that another party make a claim, should be registered by the client with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use. The New Fat Ltd will not be held responsible for any and all damages resulting from such claims. The New Fat Ltd is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. The customer agrees not to hold The New Fat Ltd responsible for any such loss or damage. Any claim against The New Fat Ltd shall be limited to the relevant fee(s) paid by the customer.
Data formats
The client agrees to The New Fat Ltd’s definition of acceptable means of supplying data to the company. Text is to be supplied to The New Fat Ltd in electronic format as standard text (.txt) or MS Word (.doc). Images which are supplied in an electronic format, are to be provided in a format as prescribed by The New Fat Ltd via e-mail. Images must be of a quality suitable for use without any subsequent image processing, and The New Fat Ltd will not be held responsible for any image quality which the client later deems to be unacceptable. The New Fat Ltd cannot be held responsible for the quality of any images which the client wishes to be scanned from printed materials. Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photography searches, media conversion, digital image processing, or data entry services.
Design project duration
Any indication given by The New Fat Ltd of a design project’s duration is to be considered by the customer to be an estimation. The New Fat Ltd cannot be held responsible for any project over-runs, whatever the cause. Estimated project duration should be deemed to be from the date that cleared funds are received by The New Fat Ltd for the initial payment or by date confirmed in writing by The New Fat Ltd.
Search engine submission
Due to the infinite number of considerations that search engines use when determining a site’s ranking, The New Fat Ltd cannot guarantee any particular placement. Acceptance by any search engine cannot be guaranteed and when a site is accepted, the time it takes to appear in search results varies from one search engine to another. Rankings will also vary as new sites are added.
Design credits
The customer agrees to allow The New Fat Ltd to place a small credit on printed material exhibition displays, advertisements and/or a link to The New Fat Ltd’s own website on the customer’s website. This will usually be in the form of a small logo or line of text placed towards the bottom of the page. The customer also agrees to allow The New Fat Ltd to place websites and other designs, along with a link to the client’s site on The New Fat Ltd’s own website for demonstration purposes and to use any designs in its own publicity.
Right of refusal
The New Fat Ltd will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities. The New Fat Ltd also reserves the right to refuse to include submitted material without giving reason. Any images and/or data that The New Fat Ltd does include in all good faith, and then finds out that it contravenes these Terms and Conditions, the customer is obliged to allow The New Fat Ltd to remove the contravention without hindrance, or penalty. The New Fat Ltd is to be held in no way responsible for any such data being included.
Termination of Agreements and Refunds Policy
Both the Client and ourselves have the right to terminate any Services Agreement for any reason, including the ending of services that are already underway. Where stock is returned, for any reason, The New Fat reserve the right to charge a restocking fee. There is a return policy on standard products with full refund excluding delivery charges (UK only). Special or approved orders are not covered by the return policy and only monies that have been paid to us which constitute payment in respect of the provision of unused Services, shall be refunded.
Specific points are outlined below:
(a) Damage, shortages and discrepancies: The Buyer shall be responsible for inspecting the Goods on delivery to check the Goods for damages, shortages and discrepancies. If there is any damage, shortage or discrepancy with respect of the Goods, the Buyer shall notify The New Fat Ltd in writing within 3 Working Days of delivery. If the Buyer fails to do so then The New Fat Ltd shall not be liable for the damage, shortage or discrepancy. A "delivery" or "arrivals" note signed by the Buyer or its agent indicating that the Goods are in good order on arrival shall be conclusive proof of the same and bind the Buyer.
(b) Goods that fail on installation: The New Fat Ltd operates a returns procedure for Goods that fail on installation. The Buyer must comply with all instructions given to it by The New Fat Ltd in relation to the applicable Goods that fail on installation returns procedure. The Buyer shall notify The New Fat Ltd in writing, within 24 hours, if any Goods appear to have failed. The Buyer must notify The New Fat Ltd of any apparent Goods that fail on installation within 5 Working Days of delivery.
(c) Goods that fail after installation: Faulty Goods must not be returned to The New Fat Ltd without notice. The Buyer must notify The New Fat Ltd within 3 Working Days of the fault becoming apparent and follow the instructions notified to it by The New Fat Ltd in relation to the fault.
(d) General provisions relating to Goods that fail on installation and Faulty Goods: (1) Should the Buyer return the Goods otherwise than as set out in these Terms and Conditions then the Buyer shall pay all The New Fat Ltd' costs and expenses in liasing with the manufacturer concerning the return. (2) The Buyer shall pay all The New Fat Ltd ' costs and expenses if the Goods suspected to be Goods that fail on installation or Faulty Goods prove not to be Goods that fail on installation or Faulty Goods. (3) The Buyer shall be responsible for all transportation and insurance costs relating to returned Goods. (4) The New Fat Ltd shall not be responsible for installation of returned Goods after repair or exchange. (5) Any labour costs and expenses incurred in extracting defective parts and/or components shall be borne by the Buyer and if incurred by The New Fat Ltd shall be paid for by the Buyer at The New Fat Ltd ' then standard applicable rate. (6) The Buyer shall also be responsible for all The New Fat Ltd' costs if The New Fat Ltd agrees to collect the Goods for return and such Goods are not ready for collection at the agreed time.
Availability
You are solely responsible for evaluating the fitness for a particular purpose of any downloads, programs and text available through this site. Redistribution or republication of any part of this site or its content is prohibited, including such by framing or other similar or any other means, without the express written consent of the Company. The Company does not warrant that the service from this site will be uninterrupted, timely or error free, although it is provided to the best ability. By using this service you thereby indemnify this Company, its employees, agents and affiliates against any loss or damage, in whatever manner, howsoever caused.
Cancellation of design work orders
Cancellation of orders may be made initially by telephone contact, or e-mail, however, following this, The New Fat Ltd will need formal notification in writing to the company’s postal address. The client will then be invoiced for all work completed, or a minimum of £75 + VAT , above the non-refundable deposit that will have been made at the time of first ordering. The balance of monies due must be paid within 30 days. Please note: any cancellation which is not formally confirmed in writing and received by The New Fat Ltd within 14 days of such instruction being issued, will be liable for the full quoted cost of the project.
Delivery
The New Fat Ltd uses third party couriers to arrange and carry out deliveries and collections. The New Fat Ltd does not accept the responsibility, and will not offer any compensation, for any loss of profits caused due to the late delivery of any items by the courier. This is includes, but is not exclusive of, a project being delayed, missed organised installation time or date or any other inconvenience caused to the customer. The New Fat Ltd will share any relevant contact information including, but not limited to, name, phone number, email address, geographical address and facsimile number with the third party courier we use for delivery of goods.
Upon delivery of any items the products must be fully checked and tested before being signed for. In cases where this is not possible the customer must sign for as “unchecked”. If there is any damage to the packaging the customer must sign for as “damaged”. All goods must be checked and tested to ensure they are in full working condition within 24 hours of receiving the goods with no exceptions. If there are any problems this must be reported to The New Fat Ltd within 24 hours of receiving the goods. If this procedure is not followed The New Fat Ltd are unable to claim compensation from the courier and will therefore not pay out on, or replace, damaged goods. It is the responsibility of The New Fat Ltd’ customers to pass this information on to their end users should the goods be shipped directly to them.
Exclusions and Limitations
The information on this web site is provided on an "as is" basis. To the fullest extent permitted by law, this Company: excludes all representations and warranties relating to this website and its contents or which is or may be provided by any affiliates or any other third party, including in relation to any inaccuracies or omissions in this website and/or the Company’s literature; and excludes all liability for damages arising out of or in connection with your use of this website. This includes, without limitation, direct loss, loss of business or profits (whether or not the loss of such profits was foreseeable, arose in the normal course of things or you have advised this Company of the possibility of such potential loss), damage caused to your computer, computer software, systems and programs and the data thereon or any other direct or indirect, consequential and incidental damages.
If you are returning your purchase the product must be complete and in ‘as new’ condition. If you have opened the box to examine the product you must have done so without damaging or marking the product or packaging. It should be returned with the original box and packaging, along with any accessories you received with it. If you follow the above, we will issue you with a full refund for the cost of the product.
The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer are affected.
Whilst we have taken all reasonable steps to ensure the accuracy and completeness of the information on this website and resources such as specification sheets, we give no warranty and make no representation regarding the accuracy or completeness of the content of this website. The New Fat Ltd reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services, products and usage is bound by their Terms and Conditions. The New Fat Ltd will not knowingly perform any actions to contravene these and the client also agrees to be so bound.
In terms of the production of any associated printed items The New Fat Ltd and its clients agree to comply with Printers Terms and Conditions which include disclaimers for non-completion on time and the flexibility to supply quantities within 10% of the total ordered. The New Fat Ltd recommend that if an exact quantity is required, then 10% extra is added to the quantity and extra time made available should the job be delayed.
General
These Terms and Conditions supersede any previous Terms and Conditions distributed in any form for The New Fat Ltd (specifically trading as TNF DigiSignage/TNF Digital). The New Fat Ltd reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.The laws of England and Wales govern these terms and conditions. By accessing this website and using our services/buying our products you consent to these terms and conditions and to the exclusive jurisdiction of the English courts in all disputes arising out of such access. If any of these terms are deemed invalid or unenforceable for any reason (including, but not limited to the exclusions and limitations set out above), then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply. Failure of the Company to enforce any of the provisions set out in these Terms and Conditions and any Agreement, or failure to exercise any option to terminate, shall not be construed as waiver of such provisions and shall not affect the validity of these Terms and Conditions or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision. These Terms and Conditions shall not be amended, modified, varied or supplemented except in writing and signed by duly authorised representatives of the Company.
Acceptance of quotation and terms and conditions
The placement of an order for the sale of digital screens, design and/or any other services offered by The New Fat Ltd and validated by either an website purchase, the customer’s signature on a supplied estimate or quotation, or email confirmation to proceed or accept a pdf quote or estimate - all of which constitute acceptance of the estimate or quotation and agreement to comply fully with all the Terms and Conditions and forms a Contract for Business between the signatory and The New Fat Ltd.

This disclaimer governs your use of our website; by using our website, you accept this disclaimer in full. If you disagree with any part of this disclaimer, you must not use our website.

We may disable your account in our sole discretion for non-payment of subscription fee without notice. In these cases a re-connection fee will also be charged. If an account is disabled all of the associated data and materials will also be removed from our server and cannot be recovered.
You may request us to provide you with any information we hold about you. Provision of such information may be subject to the payment of a fee.
If you have purchased a subscription to our service from one of our distributors you must remain with this service provider until your subscription comes to an end.

Any files uploaded to our Google Drive for sharing with clients, are removed after a 2 month period.
